Loihde Plc: The Onrego acquisition and the share issue relating to it have been carried out

On 1 November 2022, Loihde Plc announced that it had made an agreement to acquire the entire share capital of the cloud service company Onrego Ltd and that there would be a directed share issue against payment relating to the acquisition.

Today, the acquisition has become effective. Onrego Ltd becomes a fully owned subsidiary of Loihde Plc, and Onrego’s CEO Jarno Mäki joins Loihde’s Leadership Team.

In accordance with the acquisition agreement, Loihde Plc has carried out a directed share issue of 50,000 shares to Onrego’s previous owner Roaring Aspen Hill Ltd, and the share issue has been fully subscribed. The share subscription price was EUR 11.99 per share, which corresponds to the volume-weighted average share price of the Loihde Plc shares traded on Nasdaq First North Growth Market Finland during the time period of 29 July to 28 October 2022. The new shares will be registered in the Trade Register on or about 14 December 2022 and listed for trading together with the old shares on Nasdaq First North Growth Market Finland, maintained by Nasdaq Helsinki Ltd, on or about 15 December 2022. As a result of the share issue, the total number of shares in Loihde Plc increases to a maximum of 5,729,709 shares.
